Terms of Use

These Terms of Use govern your access to and use of the Enki Bookkeep application, website, and related interfaces (the "Service"), provided by Enki Digital Pty Ltd ("Enki", "we", "us"). They apply to every person who accesses the Service ("you", "user"), including each authorised user under a customer account.
These Terms of Use form part of, and are governed by, the Terms of Service, which set out the commercial terms, disclaimers, and limitations of liability. Capitalised terms not defined here have the meaning given in the Terms of Service. If you use the Service on behalf of an organisation, that organisation's agreement to the Terms of Service also binds you. If you do not agree, do not use the Service.
1. Eligibility and accounts
1.1 You must be at least 18 years old and capable of forming a binding contract. The Service is intended for business use, not for consumers acquiring goods or services for personal, domestic, or household use.
1.2 You are responsible for your account credentials and for all activity under your login. Keep credentials confidential, use a strong, unique password, enable multi-factor authentication where offered, and do not share access. Notify us immediately at hello@enkidigital.solutions if you suspect unauthorised access.
1.3 You must provide accurate account information and keep it current.
2. Acceptable use
You may use the Service only for lawful business purposes and in accordance with the Agreement. You must not, and must not permit any person to:
(a) use the Service in breach of any law, regulation, or third-party right, or to upload, store, or process any data you are not authorised to provide or process (including personal information for which you lack the necessary consents or authority);
(b) upload or transmit any material that is unlawful, infringing, defamatory, malicious, or that contains malware, or that you know or suspect to be fraudulent;
(c) treat, present, or distribute the Service's outputs as professional tax, BAS, accounting, audit, financial, or legal advice, or as a substitute for review by a qualified professional (see clause 2 of the Terms of Service);
(d) attempt to gain unauthorised access to the Service, other accounts, or our systems or networks, or circumvent, disable, or interfere with security, authentication, rate-limiting, or access controls;
(e) probe, scan, or test the vulnerability of the Service except under an authorised disclosure process we have approved in writing (see clause 7);
(f) copy, modify, reverse engineer, decompile, disassemble, or attempt to derive source code, models, or prompts, or create derivative works from the Service, except to the extent this restriction is prohibited by law;
(g) access the Service to build or train a competing product or service, or to benchmark it for a competitor;
(h) scrape, harvest, or extract data from the Service by automated means, or access it other than through the interfaces we provide;
(i) resell, sublicense, rent, lease, or provide the Service to a third party as a service bureau, except as expressly permitted in writing;
(j) impose an unreasonable or disproportionately large load on the Service, or interfere with its proper working or with other users; or
(k) remove, obscure, or alter any proprietary notice, or misrepresent your affiliation with any person.
3. AI-assisted outputs — your responsibilities
3.1 The Service uses automated and AI processing to read documents and suggest coding and records. These outputs can be wrong or incomplete and are proposals for your review only.
3.2 You must review, verify, and confirm every output before relying on it, recording it as final, or providing it to any third party (including your accountant or any authority). You are responsible for the accuracy of anything you confirm.
3.3 You must not rely on the Service as your sole record-keeping system. Maintain independent records as required by law (including your own exported copies for taxation record-keeping).
4. Your content
4.1 You retain ownership of the data and documents you submit, as set out in the Terms of Service. You grant us the licence described there to process them to provide the Service.
4.2 You are solely responsible for your content, its lawfulness, and your right to provide it. We may, but are not obliged to, remove or refuse content that we reasonably believe breaches these Terms of Use or any law.
5. Availability, changes, and suspension
5.1 We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may perform maintenance and may modify or discontinue features as set out in the Terms of Service.
5.2 We may suspend or terminate your access immediately if you breach these Terms of Use, if we reasonably suspect a security risk or unlawful use, or as otherwise permitted by the Terms of Service.
6. Third-party links and services
6.1 The Service may link to or connect with third-party websites and services. We do not control and are not responsible for them. Your use of them is governed by their terms and is at your risk.
7. Security and responsible disclosure
7.1 We welcome good-faith reports of security vulnerabilities. If you believe you have found a vulnerability, contact hello@enkidigital.solutions with details and do not access, alter, or destroy data, degrade the Service, or disclose the issue publicly before we have had a reasonable opportunity to address it. We will not pursue good-faith research that complies with this clause.
8. Intellectual property
8.1 The Service and all intellectual property in it are owned by Enki and its licensors. These Terms of Use grant you only the limited right to use the Service in accordance with the Agreement; no other rights are granted.
9. Disclaimers and liability
9.1 The disclaimers, warranties, and limitations and exclusions of liability in the Terms of Service (including the Australian Consumer Law provisions and the "preparation not advice" terms) apply to your use of the Service under these Terms of Use and are incorporated here.
10. General
10.1 We may update these Terms of Use from time to time as described in the Terms of Service; continued use after the effective date constitutes acceptance.
10.2 These Terms of Use are governed by the laws of Victoria, Australia, consistent with the Terms of Service. If any provision is unenforceable, it is read down or severed and the remainder continues.
